Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and The Watch Party ("The Watch Party," "we," "us," or "our") governing your use of the watchpartytheater.com website and The Watch Party apps for Apple (iOS/iPadOS), Android, Roku, and Amazon Fire TV (collectively, the "Service"). By creating an account or using the Service on any platform, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and Accounts

• You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service, and you must have the legal capacity to enter this agreement.
• You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us at admin@watchpartytheater.com if you suspect unauthorized use.
• You agree to provide accurate information and to keep it current.

2. The Service

The Watch Party lets you rent films, watch selected films free with ads, buy tickets, and host or join live "watch parties" where invited guests watch a film together in sync, with optional live spatial voice audio. The Service is available across the website and our Apple, Android, Roku, and Fire TV apps. On the TV apps you watch on the big screen; live voice runs on your phone or in the browser and never on the TV device. Features may vary by platform and may change over time.

3. Purchases, Rentals, and Tickets

• Payments — web purchases are processed by Stripe; purchases made directly on the Roku or Amazon Fire TV apps are processed through those platforms' billing. Prices are shown at checkout. You authorize us and the applicable payment processor to charge your selected payment method for the amounts shown.
• Rentals — a film rental grants a time-limited right to watch. A rental typically must be started within a set window and, once you press play, remains available for a limited viewing period. The specific windows are shown before you purchase.
• Watch-party tickets — a ticket grants access to a specific live watch party. Tickets are for the live event and may not include later replay.
• Sponsored parties — a host may sponsor a party so invited guests attend without buying an individual ticket, subject to the party's capacity.
• Where you can buy. You can purchase on the website and directly within the Roku and Amazon Fire TV apps. The mobile apps (iPhone and Android) do not offer in-app purchases; instead they direct you to complete checkout on the web, then return you to the party.

4. Refunds

Because rentals and tickets grant access to digital content and time-bound live events, all sales are generally final and non-refundable once access has been granted or the event has occurred. If a technical failure on our side prevents you from accessing content you paid for, contact us at admin@watchpartytheater.com and we will work with you in good faith, which may include a credit or refund at our discretion. Nothing here limits rights you may have under applicable consumer-protection law.

Purchases made through the Roku or Amazon Fire TV apps are billed by those stores and are refunded per that store's policy; purchases made here on the web follow our refund policy above.

5. Free, Ad-Supported Films

Some films are offered free of charge, supported by advertising. When you watch a free film, ads may play before and during the film. You agree not to block, skip (except using any controls we provide), interfere with, or circumvent the ads. Which titles are free, how often ads play, and the availability of ad-supported viewing may change at any time. How advertising data is handled is described in our Privacy Policy.

6. Loyalty Rewards (Punch Card)

We may offer a loyalty rewards program — for example, a punch card where a set number of qualifying paid rentals earns a free rental ("rent five, get the sixth free"). Qualifying paid rentals across the website and the Roku and Fire TV apps advance your card; free grants, comped rentals, and reward redemptions do not. Rewards are funded by The Watch Party, are redeemed on the website, have no cash value, are personal to your account and non-transferable, and are void if your account is suspended or terminated for violating these Terms. We may change, pause, or end the program, or adjust the goal or reward, at any time. The current details of the program are shown in the Service.

7. Hosting a Party and Host Earnings

• When you host an open (public-ticketed) party, you may earn a share of the ticket revenue that remains after we deduct payment/platform fees, a flat $10 platform fee per party, and the streaming/content-delivery (CDN/bandwidth) cost of the party. Your share is calculated from that remaining amount. Payout details are not shown in the app; instead, you will receive a statement by email before or together with your payout. Earnings and shares are as described in the Service and may change.
• Payout timing. Because a party's delivery cost is only known after it streams, host earnings are settled after the party ends. Payouts are typically issued within 30 days after a party has ended, and may take up to 60 days to allow for final streaming/content-delivery (CDN) cost reporting and reconciliation. Payouts are made only to eligible hosts and may require tax documentation (such as a W-9) once your cumulative payouts reach the applicable annual reporting threshold.
• You are responsible for the content and conduct of parties you host and for honoring your invitations.
• You may only host parties for films made available through our catalog and only in the manner the Service permits.
• You may cancel a party only before anyone has a ticket. Once any ticket is issued for your party (free or paid, on any platform), the party is locked and will play at its scheduled time whether or not you attend; it can no longer be cancelled and tickets remain non-refundable. You may host up to two parties at a time.

8. License and Content Rights

Films and other content in the Service are owned by us or our licensors and are protected by copyright and other laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and view content you have properly rented or been ticketed for, solely through the Service and solely for your personal, non-commercial use. You may not download, copy, record, rebroadcast, publicly perform, distribute, or circumvent any protection on the content, except as expressly allowed.

9. Copyright and DMCA Policy

We respect the intellectual property rights of others and expect our users and content partners to do the same. In accordance with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512, we will respond to clear notices of alleged copyright infringement concerning material available through the Service.

Notices of claimed infringement should be sent to our designated agent:

Filing a Takedown Notice

If you believe that content on the Service infringes a copyright you own or control, you may submit a written notice to our designated agent above. To be valid, your notice must include substantially all of the following:

• Identification of the copyrighted work you claim has been infringed (or, if multiple works, a representative list of them).
• Identification of the material you claim is infringing, together with information reasonably sufficient to let us locate it on the Service (for example, the film title, URL, or party where it appears).
• Your contact information, including your name, mailing address, telephone number, and email address.
• A statement that you have a good-faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
• A statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or are authorized to act on the owner's behalf.
• Your physical or electronic signature.

Upon receipt of a valid notice, we will act expeditiously to remove or disable access to the material claimed to be infringing.

Counter-Notification

If you believe material of yours was removed or disabled by mistake or misidentification, you may send a written counter-notification to our designated agent that includes: your physical or electronic signature; identification of the material that was removed and the location where it appeared before removal; a statement under penalty of perjury that you have a good-faith belief the material was removed as a result of mistake or misidentification; and your name, address, and telephone number, together with a statement that you consent to the jurisdiction of the federal court for the judicial district in which your address is located (or, if outside the United States, any judicial district in which we may be found) and that you will accept service of process from the person who filed the original notice or that person's agent. We may restore the removed material in not less than 10 nor more than 14 business days after receiving your counter-notification, unless the original complaining party first notifies us that it has filed an action seeking a court order to restrain the allegedly infringing activity.

Repeat Infringers

We will, in appropriate circumstances and at our discretion, disable and/or terminate the accounts of users who are determined to be repeat infringers.

10. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms.
• Harass, threaten, or abuse others, including in spatial voice audio, or transmit content that is illegal, hateful, or infringing.
• Share, resell, or transfer your access, tickets, or rentals except as the Service allows.
• Attempt to copy, capture, or redistribute streamed content.
• Block, skip, or circumvent advertising on free, ad-supported films except through controls we provide.
• Interfere with, probe, or disrupt the Service, or attempt to bypass security, rate limits, or entitlement checks.
• Use bots, scrapers, or automated means except as we expressly permit.

We may suspend or terminate accounts that violate these Terms.

11. Spatial Voice Audio

Some parties include live spatial voice audio. Your microphone is only active when you join a voice room, and you can mute yourself at any time; hosts may mute participants. We do not record or store voice audio. Be respectful of others while using voice.

12. User Conduct and Content You Provide

You are responsible for information you submit, such as your display name, friend invitations, and party details. You must have the right to share anything you provide, and you grant us the license needed to operate the Service (for example, to display your party to invited guests). We may remove content or restrict features that violate these Terms.

13. Third-Party Platforms and App Stores

When you obtain our app through the Apple App Store, Google Play, the Roku Channel Store, or the Amazon Appstore, your use is also subject to that platform's terms. For Apple: these Terms are between you and The Watch Party, not Apple; Apple is not responsible for the app or its content, and Apple and its subsidiaries are third-party beneficiaries of these Terms with the right to enforce them. Each platform provider may have its own responsibilities for support and refunds under its policies.

14. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that content will always be available.

15. Limitation of Liability

To the fullest extent permitted by law, The Watch Party and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred U.S. dollars ($100).

16. Indemnification

You agree to indemnify and hold harmless The Watch Party from any claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your violation of these Terms or the rights of others.

17. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination (including licenses, disclaimers, and limitations of liability) will survive.

18. Changes to the Service and Terms

We may modify the Service or these Terms from time to time. If we make material changes we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use after changes take effect means you accept the updated Terms.

19. Governing Law

These Terms are governed by the laws of the United States and the State of California, without regard to conflict-of-law rules. You agree that disputes will be resolved in the courts located in California, except where applicable law provides otherwise.
